This is a program about valuation with a twist. It will include an outline for approaches to valuation by Bob Siwicki, CPA and a case study involving valuation and a partial buy-out.
Asked how much their business is worth, most owners who have given it any thought will respond with a number based on some rule-of thumb for their industry or something along the line of 'book value plus goodwill of $X.'
When an owner decides to do a partial cash out with a private equity firm, valuation can become a little more complicated. Dollars come in exchange for preferred stock, and stock options are granted to management. What's the PE deal imply as to the value of a common share at closing? And how can the owner tell if there will be enough on the back end to meet future retirement goals?
